For this episode of the PlanetMicroCap Podcast, I spoke with Adam J. Epstein, Founder of Third CreekAdvisors, LLC. Mr. Epstein is a former institutional investor, well-known speaker on corporate governance, and the author of the best-selling resource created specifically for small-cap corporate directors, titled, “The Perfect Corporate Board: A Handbook for Mastering the Unique Challenges of Small-Cap Companies.”
As defined by Investopedia, Corporate Governance, “is the system of rules, practices and processes by which a company is directed and controlled. Corporate Governance essentially involves balancing the interests of the many stakeholders in a company – these include shareholders, management, customers, suppliers, financiers, government and the community. Since corporate governance also provides the framework for attaining a company’s objectives it encompasses practically every sphere of management from action plans and internal controls to performance measurement and corporate disclosure.” You can probably imagine the implications of having good or bad corporate governance in a MicroCap company.
The goal for this episode is to learn about and define corporate governance, understand why this is important when doing your due diligence and what we can do as investors to better know what we’re getting on the corporate governance front in MicroCap companies.

For this episode of the PlanetMicroCap Podcast, I spoke with Rick Rule, President and CEO of Sprott U.S. Holdings, Inc. Rick Rule has dedicated his entire life to natural resource securities investing, and is one of the more sought after speakers and leading thinkers in natural resources and mining. I’ve seen him speak at many conferences to packed rooms, and let me tell you, when he speaks, people listen. I have wanted to speak with him since starting this podcast, so I feel quite privileged that he was able to carve out some time to do this. I felt that he was the natural resource, pardon the pun, to discuss the cyclical nature of resources. Roughly being able to predict where we are in any given cycle, while difficult, can provide an edge when looking at investing in microcap resource companies. In this interview, Rick provides an overview to understand when these peaks and valleys can and do happen, and their characteristics.

For this episode of the Planet MicroCap Podcast, I spoke with Mike Corbett CEO and Portfolio Manager for Perritt Capital Management. One thing I hear quite a bit from MicroCap CEO’s and management is their desire to meet with institutions. According to Investopedia.com, an “Institutional Investor”, “is a non-bank person or organization that trades securities in large enough quantities or dollar amounts that they qualify for preferential treatment and lower commissions.” Investopedia.com goes on to break down what this term implies, “watching what the big money is buying can sometimes be a good indicator, as they (supposedly) know what they are doing.” In past interviews on the podcast, I recall that the goal as a MicroCap Investor is to find those companies before they get institutional coverage for this very reason – the expectation that once the institutions get involved, the cat is out of the bag, so to speak. So, I wanted to understand this a little better – who and what is an institutional investor and key in on what they look for in MicroCap stocks.
The goal for this episode is to learn about what a fund is, in particular, a MicroCap fund, and if there is a difference in philosophy for investing between an institutional and an individual investor, understanding Mike’s due diligence process and his advice for investors looking into investing in MicroCap stocks.

A+ and equity crowdfunding have been in the news quite a bit recently, especially since the first ever Reg. A+ deal, Elio Motors, got funded and went public on OTC Markets. One of the first conferences I went to since joining the business was a mining and resources conference back in 2011 and 2012 during the natural resources bull market. During that time, I was meeting a lot of experts in the field, and the one person I gravitated towards most was my guest on today’s show, Brent Cook. Geology is not an exact science, and picking the right company that has a promising resource can be difficult. It helps learning from geologists who analyze and look at these rocks on a daily basis. Brent has been in the business for a long time and has seen a lot of rocks.

I met Maj at a conference recently and we had a great conversation about this concept that I wanted to learn more about: “Information Arbitrage.” On the program, we’ve talked about the importance of doing your due diligence, which includes reading an issuer’s press releases, SEC Filings, etc…, including where to find all of this information, as well as why understanding this material to the best of your ability, can help you gain an edge when investing. In this interview, Maj stresses the importance of reacting to and finding public information before other market participants. In addition to learning more about “Information Arbitrage,” we also discuss his research techniques, the difference between value stocks and growth stocks, and of course, I ask for his advice for new MicroCap investors.
